Dynamic Directional Engineering LLC

These terms govern your use of License Tool (https://licensetool.dyndir.com), a software licensing service operated by Dynamic Directional Engineering LLC ("we", "us"). By creating an account or using the service you agree to them. If you use the service on behalf of a company, you agree on its behalf.

The service

License Tool lets software developers ("vendors") define products and license tiers, issue and verify license keys, sell licenses through an online store, and pay commissions to resellers. We provide licensing and payment processing integration only; we do not host or distribute your software.

Accounts

You must give accurate information, keep your password secret and tell us promptly about any unauthorized use of your account. You are responsible for everything done through your account, including by members of your team.

Vendors

You are the seller of record for every license sold through your store. You are responsible for your software, your own license agreement with your customers, customer support, refunds you choose to give, and any taxes due on your sales. Payments are processed by Stripe; to receive payouts you must accept Stripe's Connected Account Agreement and complete Stripe's verification.

Fees

Platform fees are those shown in your account under Billing. Fees are charged in 30-day cycles that begin on the day billing starts for your account. Per-license fees for store sales are deducted from the sale; fees for licenses you issue yourself are invoiced at the end of each 30-day cycle. Fees are not refundable except where required by law. We may change fees with at least 30 days' notice by email.

Resellers

Resellers sell vendors' licenses within the quota, price range and commission the vendor sets. Commissions are paid through Stripe once a reseller has connected a Stripe account.

Acceptable use

You may not use the service to sell software that is unlawful or malicious, to infringe anyone's rights, to send spam, to interfere with the service or its security, or to attempt to access data that is not yours. We may suspend accounts that do.

Your data

You keep all rights to your content and your customers' data. You allow us to process it to provide the service, as described in our Privacy policy.

Availability and changes

We work to keep the service available and secure but do not guarantee uninterrupted operation. We may change or improve the service; we will give reasonable notice of changes that materially reduce its functionality.

Disclaimer and limitation of liability

The service is provided "as is" without warranties of any kind, to the extent permitted by law. To the extent permitted by law, we are not liable for indirect, incidental or consequential damages or lost profits, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.

Ending your use

You may stop using the service and close your account at any time. We may suspend or end your access if you breach these terms.

Changes to these terms

We may update these terms. We will post the new version on this page and, for significant changes, email account owners at least 30 days before they take effect.
